The Senior Company Secretary manages a portfolio of companies, subsidiaries, and branches, ensuring effective governance and compliance across Boards, Committees, and legal entities. The role provides expert governance advice, oversees regulatory and statutory obligations, supports corporate transactions, and builds relationships with senior stakeholders.

 

Job Responsibilities

  • Organise and manage Board, Committee, and management meetings.
  • Ensure effective corporate governance arrangements for subsidiaries and legal entities.
  • Oversee regulatory and statutory compliance for companies, subsidiaries, and branches.
  • Manage corporate records, filings, and Powers of Attorney.
  • Provide governance support for corporate transactions and restructuring activities.
  • Manage listed entity governance requirements where applicable.
  • Build and maintain relationships with senior internal and external stakeholders.
  • Support and develop Governance team members.
  • Drive process improvements and governance best practices.

 

Job Requirements

  • 7 - 10 years' experience in company secretarial, governance, or corporate legal roles.
  • Excellent understanding of governance, company law, and the regulatory environment within a large financial services organisation.
  • Proven ability to lead initiatives and deliver results through collaboration and influence.
  • Excellent communication, stakeholder management, and negotiation skills.
  • Excellent analytical skills with the ability to simplify complex issues.
  • Demonstrated adaptability, learning agility, and commitment to continuous improvement.
  • Ability to build trusted relationships and operate effectively in a complex, fast-changing environment.
